1. Authorization/Contact Agreement.

The client is engaging Neado Designs as an independent contractor for the Design and or Development of a specific project or projects. The client also authorizes Neado Designs to publicize their completed project(s) in the Neado Designs Portfolio, internet search engines, directories and other indexes.

The client is responsible for providing accurate and reliable contact information. The client agrees that the email address given will be active and understands that they are responsible for replying to all correspondence sent to that address by Neado Designs. Failure to respond in a timely manner may result in a suspension of the client's account, if Neado Designs is unable to contact them for a 14 day period.

2. Completion Date.

Neado Designs and the client must work together to complete the project(s) in a timely manner. Typically, a project can be completed in a matter of weeks. For a more specific time frame, the client should ask when requesting their Free Quote. Free Quotes are estimates, not a guarantee.

3. Payment of Fees.

Fees to Neado Designs are due before the commencement of any contracted work. A 1 Hour minimum must be purchased prior to starting or resuming a client's project. For an idea of how many hours are needed, the client should ask when requesting their Free Quote. Free Quotes are estimates, not a guarantee.

4. Impossibility of Performance.

Client acknowledges and agrees that Neado Designs cannot guarantee the absence of service interruptions caused by circumstances beyond their control including, but not limited to; local telecommunications problems, line failures, or temporary down time for maintenance or upgrades. The client also accepts that because web pages rely on delivery through a world-wide web of co-operating systems - from time to time, any website may temporarily experience interruptions beyond the control of Neado Designs.

5. Copyrights and Trademarks.

The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork submitted to Neado Designs through Work Submission are owned, or that the proper permissions were received by the client from the rightful owner to use these elements. The client further guarantees that Neado Designs will be held harmless, be protected from, and be defended from any claim or suit arising from the use of such elements supplied by the client. Neado Designs does not assume responsibility for fonts, stock icons, and or images supplied in Work Previews or PSD's from a third party. If discrepancies arise, Neado Designs will switch out the item(s) in question free of charge.

6. Refusal of Service.

Neado Designs reserves the right to refuse service for any project that it feels is not legal, moral, or in the best interests of Neado Designs. Neado Designs is not responsible for the content of any project. Neado Designs may cancel this contract for failure of the client to abide by its terms, and thus cancel Client Admin Accounts.

7. Staff Abuse.

Abuse towards Neado Designs Staff is not tolerated. If a client uses foul language, threats, or anything Neado Designs finds offensive, the client's account may be suspended or deleted. As such, Neado Designs reserves the right to refuse or revoke time remaining on the Client's Account.

8. Refunds.

We do not offer refunds unless certain circumstances apply.

9. Design Credit.

A small linked logo image to Neado Designs will appear at the bottom of each page on the client's website. The client agrees to display it for as long as the website, designed by Neado Designs, is publicly displayed on the internet, regardless of where the site is hosted or maintained. The removal of the small linked logo image to Neado Designs is subject to a onetime fee, at the discretion of Neado Designs.

10. Governing Law.

This contract shall be governed by the laws of the Province of Alberta and the country of Canada, which shall claim venue and jurisdiction for any legal motion or claim arising from this contract. This contract is void where prohibited by law.

Neado Designs respects the privacy of every individual who visits their website. Neado Designs takes great measures to ensure the privacy and confidentiality of any exchanged personal information.

All personal information supplied will remain within Neado Design's Firm and will not be shared with any external entity unless prior permission is given. Personal information will not be sold, distributed or published in any manner whatsoever.
